CONSTITUTION AND RULES

    • TITLE
    • 1. The name of the Club shall be the ‘The Wellingborough Old Grammarians Bowls Club” here after referred to as the “Club”.
    • OBJECTS
    • 2. The objects of the Club shall be:- [a] To be Affiliated to Bowls England.. [b] To be Affiliated to the Northamptonshire Bowling Association.. [c] To be Affiliated to the Northamptonshire Women’s Bowling Association. [d] To establish and maintain close links with other Bowling Clubs. [e] To foster a special bond of comradeship between members.. [f] To maintain close contact at all times with the Wellingborough Old Grammarians Association and encourage Members to join and to give support to the Club.
    • FUNCTIONS
    • 3. The Functions of the Club are:- [a] To help safeguard the interest of its Members. [b] To administer the funds under its control. [c] To arrange an Annual Presidents Day. [d] To Arrange an Annual Ladies Day. [e] To Arrange an Annual Club Bowls Tour. [f] To Arrange a Club Members Presentation Dinner to enable Members to assemble socially.. [g] To publish and circulate a Fixtures List at intervals concerning the activities of the Club and its Members.. [h] To do such other matters as may assist in carrying out the objects of the Club.
    • MEMBERSHIP
    • 4. There shall be three classes of membership:- [a] Ordinary [b] Honorary. [c ] Temporary
    • Membership of the Wellingborough Old Grammarians Association is a pre-requisite of Membership of the Club.
    • 5. Ordinary Membership shall be open to members of the Wellingborough Old Grammarians Association whose nomination has been accepted by the Committee of the Club. The Committee reserves the right to reject or limit such applications.
    • 6. Honorary Membership for Individuals who give, or have given, exceptional service to the Club. The power of election of such Honorary Members shall be vested in the Club Committee, subject to the approval of the AGM, however, the number of such members shall not exceed four at any one time.
    • 7. Temporary Membership will extend to visitors who sign the Club Visitors Book as required by Bowls England Civil Liabilities Insurance Scheme.
    • SUBSCRIPTIONS
    • 8. The annual rates of subscription for Members shall be as recommended from time to time by the Club Committee and as approved at the subsequent Annual General Meeting. Annual Membership Subscriptions shall be paid direct to the Hon Treasurer at the AGM each year, for the following year. 9. A separate W.O.G. Association Membership Fee will be levied by W.O.G HQ on the 1st September Annually. however a W.O.G.A. Life Membership is available after Ten Years.
    • MATCH FEES
    • 10. A Match Fee per person for each game, will be levied to cover the cost of Green Fees and the aftermatch meal. The rate shall be as recommended from time to time by the Club Committee and as approved at the subsequent Annual General Meeting.
    • DRESS CODE
    • 11. Dress Code for all Home games will be Grey below the waist and White above with club cravats for women and club ties for men and correct stickers on bowls.
    • 12. Dress Code for all Away games will be Whites, unless otherwise specified.
    • COPY OF THE CONSTITUTION & RULES
    • 13. Each member of the Club shall be entitled to a copy of this constitution.
    • CLUB TIES & LADIES CRAVATS
    • 14. ONLY members of the Club are entitled to wear the Club Tie or Ladies Cravat which can be obtained from the Hon Treasurer.
    • THE PRESIDENT AND PRESIDENT ELECT
    • 15. The Club shall be headed by a President and a President Elect, which shall not exceed two [2] at any time. The President and Presidents Elect shall be Ordinary Members of the Club.
    • 16. They shall be appointed an the recommendation of the Club Committee and elected by Ordinary Members present in Annual General Meeting. They shall be elected for a Term of One [1] year or until such a time as they wish to resign.
    • 17. The President shall be an officer of the Club Committee and during his term of office shall be chairman of the club Committee. At every meeting of the Club Committee, the Chairman, if present, shall preside. If the Chairman is absent, the meeting shall be presided over by such members of the Club Committee, as the members of that committee then present, and being a quorum in conformity with Rule 30 shall decide
    • 18. The President Elect shall be an Ordinary Member of the Club Committee in the year prior to their installation.
    • HONORARY SECRETARY
    • 19. There will be an Honorary Secretary who shall be an Ordinary Member of the Club. He shall be elected by Ordinary Members present in General Meeting and will hold office for one [1] year and be eligible for re-election for further terms of office. He shall be a member of the Club Committee.
    • 20. The duties of Honorary Secretary shall, subject to the control of the Club Committee, include:- [a] The keeping of a register of all members of the Club, together with their addresses. [b] The provision of copies of this constitution. [c] The preparation and issue of Agenda for the meeting of the Club and the Club Committee and the keeping of minutes of such meetings. [d] Dealing with all correspondence concerning all matters affecting the Club and such further action as may be required to ensure the smooth running of the Club.
    • THE HONORARY TREASURER
    • 21. There will be an Honorary Treasurer who will be an Ordinary Member of the Club.
    • 22. The Honorary Treasurer shall be elected by Ordinary Members present in General Meeting. He will hold office for one [1] year and shall be eligible for re-election for further terms of office. He shall be a Member of the Club Committee.
    • 23. The duties of Honorary Treasurer shall, subject to the control of the Club Committee, include:-
    • [a] The collection of subscriptions from individual Members and maintaining a nominal roll of fully paid up members.
    • [b] The administration of funds of the Club and the keeping of the financial records and accounts of the Club.
    • [c] The preparation and presentation of the financial report to the Annual General Meeting for the end of each financial year. The preparation and presentation of the financial records and accounts for a 5 year audit or the hand over of Treasurers to the Annual General Meeting in accordance with Rule 40.
    • [d] Such further action as may be required for the smooth running of the Club.
    • THE CLUB COMMITTEE
    • 24. The affairs of the Club shall be managed by a Club Committee which shall consist of the following:-
    • [a] As elected officers:-The President, the Honorary Secretary, and the Honorary Treasurer.
    • [b] As elected Members:- The President Elect, The Fixtures Secretary. Thursday Captain, Saturday Captain, Sunday Captain, Ladies Captain. One of whom shall be designated Club Captain.
    • [c] As elected members:- Four Ordinary Members of the Club elected by Ordinary Members present at the Annual General Meeting.
    • 25. The Officers and Ordinary Members of the Club Committee shall, on completion of their existing terms of office, be eligible for re-election for further terms. All shall be elected by Ordinary Members of the Club in the Annual General Meeting.
    • 26. If an Officer or Ordinary Member shall die, retire or resign, a new member may be appointed in his place by the Club Committee but the appointment of such new Members shall be confirmed or otherwise, by Ordinary Members present and voting at the subsequent Annual General Meeting.
    • 27. The Club Committee shall meet at least once in each calendar month in the season, and at least twice during the “Close” season, or more often if necessary, at dates and times determined by the President of the Club.
    • 28. The Club Committee shall have power to appoint for any special purpose, sub-committees consisting wholly or in part of members of the Club Committee.
    • 29. The Club Committee shall have power to co-opt any eligible member of the Club and shall determine if the co-opted member shall have voting rights.
    • 30. The Club Committee shall have power to make Bye-Laws which shall have effect until rescinded by the committee or by a General Meeting.
    • 31. The QUORUM for any meeting of the Club committee shall be FOUR [4].
    • 32. The Officers and Ordinary Members of the Club Committee shall be indemnified by the Club, for any decisions they make in Committee in the event of there being legal action against them as individuals.,
    • MEETING OF THE CLUB
    • 3. A General Meeting of the Club shall be held once a year at a date, time and place to be decided by the Club.
    • 34. Notice of a General Meeting shall be given in writing by the Honorary Secretary of the Club to all members of the Club not less than one month prior to the date of the meeting.
    • 35. All Members of the Club may attend the Annual General Meeting, however only Ordinary Member shall be entitled to vote at such Meetings, each Member shall have one vote.
    • 36. The President of the Club shall preside at General Meetings of the Club, if the President is absent, the meeting shall be presided over by the following in the order stated:-
    • [a] President [b] Past President
    • [c] Any Committee Member but excluding the Honorary Secretary and the Honorary Treasurer.
    • [d] If no Committee Member is present, any Ordinary Member elected by those Ordinary members present at voting.
    • 37. An Extraordinary General Meeting shall be convened upon the written request of at least Eight [8] members, and shall be held within Twenty One [21] Days of receipt of such request.
    • 38. The business to be transacted at the Annual general Meeting of the Club shall be:-
    • [a] The acceptance of the minutes of the previous Annual general meeting of the Club and matters arising there from..
    • [b] The receipt of the Honorary Secretary’s report.
    • [c] The receipt of the Honorary Treasurer’s report and the consideration and adoption of the accounts of the Club for the previous year.
    • [d] The election of officers and Ordinary Members of the Club Committee
    • [e] Any other matters which under the provisions of this Constitution can be considered.
    • 39. TWENTY Ordinary Members of the Club shall constitute a QUORUM for any Annual General Meeting of the Club.
    • VOTING
    • 40. At an Annual General Meeting of the, or meetings of the Club Committee, decisions shall be taken on a show of hands. No resolution shall be deemed to be carried unless a MAJORITY of Ordinary Members PRESENT vote in favour. In the event of equality of votes, the Chairman shall have the casting or second vote.
    • FINANCE
    • 41. The Clubs Bankers shall be the H.S.B.C.Bank and the Nationwide Building Society, and all monies belonging to the Club shall be paid into and held in separate Bank Accounts in the name of the Club, at branches nominated by the Club Committee. All cheques issued on behalf of the Club shall be signed by the Honorary Treasurer of the Club. The funds of the Club shall be derived from:- Annual Membership Subscriptions. Donations and Subscriptions. Fund raising activities authorised by the Club Committee. Interest on any invested income. There shall be a nominated reserve [or secondary] Signatory who shall only sign Club cheques in the event of the Honorary Treasurer becoming incapacitated.
    • 42. The Clubs financial year shall end on 31st December of each year and the accounts shall be audited every 5 years or on the change of the Club Treasurer by a person who is totally independent of the Club and appointed in accordance with arrangements made by the Club Committee.
    • 43. On completion of the 5 year Audit, a copy of the duly audited and signed statement of Account will be sent to each member of the Club Committee and copies shall be made available to each fully paid up Ordinary Member of the Club. An annual Financial Report will be sent out to each fully paid up Member of the Club .
    • SHORT MAT BOWLS out of season.
    • 4. Playing short mat bowls out of season, either at our clubhouse or at other locations such as a village hall, is covered by our insurance as it is part of our out of season activities.
    • SAFEGUARDING OFFICER (SO)
    • 45. The club shall appoint a designated person to serve as its Safeguarding Officer (SO) responsible for the implementation of the Club Safeguarding policy. A deputy SO may also be appointed to provide support. It is important that both are assured of the complete support of all other club officials and the committee.
    • ALTERATION OF THE RULES
    • 46. No Rule in this Constitution shall be altered or repealed or any new rule made except by a resolution of Members of the Club and passed by a majority of Ordinary Members present and entitled to vote at an Annual General Meeting of the Club. The notice of convening the Annual General Meeting shall give particulars of the resolution to be considered at the meeting.
    • DISSOLUTION
    • 47. Following the approval of the President in writing, this Club shall be dissolved if:-
    • [a] At a General Meeting of the club, a resolution for the dissolution of the Club is duly proposed and passed in accordance with Rule 42.
    • [b] The number of Ordinary Members of the Club being fewer than 20 [Twenty] in number, a resolution for the dissolution of the club is duly proposed and passed by a majority of the members of the Club Committee.
    • 48. On confirmation of dissolution, the Club Committee shall proceed to realise all the assets of the Club and, after discharging all liabilities, shall donate the remaining funds and property to the Wellingborough Old Grammarians Association or its successors.
    • SMOKING POLICY
    • 49. Smoking is prohibited on the Bowling Green area, including the banking at the Redwell Bowling Green for all their respective club members and visitors when participating in club organised matches, competitions and events.
    • This includes ALL forms of tobacco and their electronic/vape substitutes. The tarmac path surrounds and grass areas behind are not affected.
    • Bowlers not adhering to the above will be required to leave the bowling green.
    • Should you wish to smoke please step off the green to the designated areas.
